1. Terms & Conditions

1.1 Agreement

By accessing or using CareSoft ("the Service"), you agree to be bound by these Terms & Conditions. If you do not agree, you must not use the Service. These terms constitute a legally binding agreement between you ("User") and CareSoft Pty Ltd ("we", "us", "our").

1.2 Eligibility

You must be at least 18 years of age and have the legal authority to enter into this agreement on behalf of yourself or your organisation. By using the Service, you represent and warrant that you meet these requirements.

1.3 Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@caresoft.com.au of any unauthorised use of your account.

1.4 Subscription & Payment

CareSoft is offered on a flat-rate subscription basis. Fees are billed in advance on a monthly or annual cycle. All prices are in Australian Dollars (AUD) and inclusive of GST unless otherwise stated. We reserve the right to change pricing with 30 days' written notice.

1.5 Termination

We may suspend or terminate your access to the Service at any time for breach of these Terms. You may cancel your subscription at any time; access will continue until the end of the current billing period. No refunds are provided for unused portions of a billing period unless required by Australian Consumer Law.

1.6 Modifications

We reserve the right to modify these Terms at any time. Continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. We will provide reasonable notice of material changes via email or in-app notification.

2. Acceptable Use Policy

The Service is provided solely for lawful healthcare administration, practice management, and care coordination purposes by authorised healthcare providers and their staff.

Users are solely responsible for ensuring their use of the Service complies with all applicable healthcare legislation, including but not limited to the Health Records and Information Privacy Act 2002 (NSW), the My Health Records Act 2012 (Cth), and any requirements of AHPRA or relevant professional bodies.

CareSoft is committed to providing a safe and respectful environment for all users and staff. When communicating with us — including via email, in-app messaging, phone, or any paid support channel — you agree to:

We recognise that users may contact support when frustrated, and we will always endeavour to resolve issues professionally. However, CareSoft reserves the right to end any support interaction — including a paid support session — where a staff member is subjected to abusive or threatening behaviour, without refund of any support fees paid.

Repeated or serious misconduct in communications may result in suspension or termination of your account. Where conduct may constitute a criminal offence under Australian law (including the Criminal Code Act 1995 (Cth) or relevant state legislation), we reserve the right to refer the matter to the appropriate authorities.

2.5 Enforcement

We reserve the right to investigate and take appropriate action against any breach of this policy, including suspension of access, termination of account, and referral to relevant authorities.

3. Privacy Policy

CareSoft Pty Ltd is committed to protecting your privacy in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles (APPs). This policy explains how we collect, use, disclose, and safeguard your personal information.

Your data is stored on AWS servers located in the Sydney, Australia region. We implement industry-standard security measures including encryption in transit (TLS) and at rest, access controls, and regular security reviews. No method of transmission over the internet is 100% secure; we cannot guarantee absolute security.

3.6 Data Retention

We retain your account data for as long as your subscription is active and for a period of 7 years after termination, as required by applicable Australian laws. Patient data is retained in accordance with your instructions and applicable healthcare records legislation.

3.8 Cookies

We use essential cookies to operate the Service (e.g., session management). We do not use third-party advertising or tracking cookies.

4. Limitation of Liability

4.1 No Medical Advice

CareSoft is a practice management and administration tool only. It does not provide medical advice, diagnosis, or treatment. Clinical decisions remain the sole responsibility of qualified healthcare professionals.

4.2 Service Availability

We aim to provide a reliable Service but do not guarantee uninterrupted or error-free availability. We will use reasonable endeavours to provide at least 99.5% monthly uptime, excluding scheduled maintenance.

4.3 Exclusion of Warranties

To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

4.4 Limitation of Liability

To the maximum extent permitted by the Competition and Consumer Act 2010 (Cth) and other applicable Australian law, CareSoft Pty Ltd's total aggregate liability to you for any claim arising out of or in connection with the Service or these Terms shall not exceed the total fees paid by you in the 3 months immediately preceding the event giving rise to the claim.

4.5 Exclusion of Consequential Loss

To the maximum extent permitted by law, we exclude all liability for indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, loss of goodwill, or business interruption, however caused and on any theory of liability.

4.6 Australian Consumer Law

Nothing in these Terms limits or excludes any guarantee, warranty, right, or remedy that cannot be excluded under the Australian Consumer Law (Schedule 2, Competition and Consumer Act 2010 (Cth)), including any consumer guarantees applicable to the supply of services.

4.7 Indemnification

You agree to indemnify and hold harmless CareSoft Pty Ltd, its directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your breach of these Terms, or your violation of any applicable law or third-party rights.

4.8 Governing Law

These Terms are governed by the laws of Tasmania, Australia. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Tasmania, Australia.
